World Copper Ltd. (TSXV: WCU; also OTCQB: WCUFF, FSE: 7LY0) is a Vancouver-based grassroots mineral exploration company. IMPORTANT -- ITS WIDELY-CITED CHILEAN COPPER ASSETS ARE NO LONGER ITS OWN: on 20 Jul 2026 a court-approved plan of arrangement spun out all of the company's interests in its Chilean subsidiaries, comprising the Escalones and Cristal projects, into a newly-formed entity, World Copper Holdings Ltd. ("Spinco"), which is a reporting issuer but is NOT listed on any stock exchange. Immediately prior, effective 17 Jul 2026, the company consolidated its shares 20:1, taking 263,031,067 shares to approximately 13,151,545; shareholders received one new World Copper share plus one Spinco share for each post-consolidation share held. New CUSIP 98144X306 / ISIN CA98144X3067 took effect 22 Jul 2026. Much of the search coverage that still surrounds this ticker refers to a 2022/2023 Escalones PEA reporting a post-tax NPV of roughly US$1.5 billion -- that project is not this company's, and moreover World Copper's own financial statements record the decision to write Escalones down to a nominal value of $1 subsequent to the period ended 30 June 2024, citing the Chilean Presidential decree published 30 Nov 2023 creating a Sanctuary of Nature over the upper Maipo River valley in which Escalones sits, together with the lapse of a pre-existing access easement. The company's other legacy asset, the Zonia copper project in Arizona, was sold to Edge Copper Corporation in Oct 2025 and is tracked separately in this database under ticker EDCU. World Copper did not retain a controlling stake in the acquirer: under that arrangement it distributed most of the share consideration straight through to its own shareholders on the closing date (approximately 0.12482512 Edge Copper shares per World Copper share), retaining only 5,000,000 Edge Copper shares plus roughly US$500,000 in cash. Any secondary source describing World Copper as a 22.6% or 31.3% strategic holder of Edge Copper is misreading a figure that Edge Copper's own MD&A attributes to "World Copper and its shareholders" combined, not to a corporate block (established by a separate review, canonical tracker Task #660, 2026-08-25). Whether those 5,000,000 shares survive on the balance sheet after the 20 Jul 2026 spin-out has not been confirmed from a post-arrangement filing and should be checked at the next report. WHAT REMAINS: a stated intent to become a North American focused issuer, and a single property -- Brassie Creek, an approximately 1,861-hectare porphyry-skarn copper-gold prospect in the Kamloops Mining Division of southern British Columbia, held under an OPTION to earn 100% rather than owned outright. Under the definitive agreement dated 24 Feb 2026 (TSXV acceptance announced 19 May 2026), the earn-in requires C$440,000 in cash, 900,000 shares and C$750,000 of exploration expenditures over 36 months, subject to a 2% net smelter returns royalty of which half is repurchasable for C$1.5 million. Brassie Creek's technical history is real but old and expressly not verified by a qualified person: an induced-polarization survey in 1973, 540 m of drilling in 1998-99 reported to confirm near-surface polymetallic skarn mineralisation, rock and soil geochemistry and structural analysis from 2012-2019, a ground magnetic and VLF survey in 2020, and a structural report over the northwestern zone in 2025. No mineral resource of any category has been estimated for it and no NI 43-101 technical report on the property has been published.
