Lightning Resource Corp. (TSXV: LTNG, formerly BeMetals Corp, TSXV: BMET -- name/ticker change effective 31 Jul 2026) is a newly reconstituted Canadian gold explorer. Effective 2 Sep 2026 the company completed the acquisition of the Savant, Devon, Whitton and TooGood projects from Prospector Metals Corp (via Prospector's wholly-owned subsidiary Lightning Exploration Corp.) in exchange for 29,400,000 common shares -- approximately 43.98% of Lightning, per the parties' own 11 Sep 2026 release, not ~49.9% -- alongside the conversion of 8,000,000 subscription receipts and release of C$4.0M in financing proceeds. Prospector then distributed ALL 29,400,000 of those Lightning shares to its own shareholders as a return of capital (0.174977 Lightning shares per Prospector share, deemed $0.52), completed 11 Sep 2026, and now holds zero (0%) shares of Lightning. Immediate focus is the district-scale Savant Gold Project (24,197 ha, northwestern Ontario, underexplored iron-formation-hosted and shear-hosted gold targets); Devon (Thunder Bay area, magmatic-sulphide-prospective) and Whitton (Heaven Lake greenstone belt, Ni/PGE + BIF-gold potential) are also in Ontario, and TooGood (Newfoundland) identified a 15km target corridor in a successful 2025 drill campaign. The legacy BeMetals portfolio (copper interest in Zambia, gold interest in Japan) is also retained. B2Gold Corp is the largest shareholder and has two board seats (Andrew Brown and, from Q3 2026, B2Gold President & CEO Clive Johnson). B2Gold held 10,872,629 Lightning shares (~36.93%) as of 1 Sep 2026, was diluted to ~16.27% by the transaction's share issuances, then acquired a further 5,464,904 shares through Prospector's return of capital: immediately following that distribution it held 16,337,533 shares, approximately 24.44% on a non-diluted basis (11 Sep 2026). No NI 43-101 resource has been published at any of its projects; all are at the grassroots stage.

Acquisition Susceptibility

How this is calculated
7.2/10
Unlikely bolt-onFits the takeout profile

A relative ranking of how closely this company matches the profile of juniors that have actually been acquired — not a probability, and not a reason to buy. Acquisitions are rare: only a few dozen significant deals happen a year across a universe of thousands of juniors, so even a high score here describes a long shot. The strongest signal in the research, a producer that already owns part of the company, is scored from its disclosed strategic shareholders. A producer that is a joint-venture or earn-in partner on the project, rather than a shareholder, isn't captured yet.
