Bronze Fox / West Kasulu (Southern Gobi, Mongolia) carries a genuine, compliant JORC 2012 Inferred Mineral Resource: 194.1 Mt @ 0.22% Cu / 0.07 g/t Au = 0.26% CuEq (426 kt Cu, 437 koz Au), 100% Inferred with no Indicated and no Measured, at a 0.2% CuEq cut-off within a notional pit shell to ~325m depth, CuEq = Cu% + 0.5204*Au g/t (Au US$1,400/oz, Cu US$3.40/lb). Announced 26 July 2022 -- the release states NO effective date, so 2022-07-26 is the announcement date only and must not be recorded as an effective date. Prepared by DG & JG Larsen Consulting Pty Ltd, Competent Person David Larsen (MAIG). A separate Exploration Target of 100-300 Mt @ 0.25-0.35% CuEq is kept properly distinct from the MRE in the same release. PROVENANCE CAVEATS: the MRE was commissioned and paid for by Resilience Mining Mongolia rather than by Kincora, and the release calls Larsen an 'independent consultant' in the same paragraph that discloses he is a shareholder of Resilience; the 4-page TSXV release carries no resource table (figures come from the ASX version, corroborated by Stockhead 26 Jul 2022 and by Woomera's 11 Aug 2024 ASX restatement of 'an Inferred Mineral Resource of 194.1 Mt'); and no NI 43-101 technical report appears to support it -- Kincora's FY2025 AIF (30 Mar 2026) contains no occurrence of 'Technical Report' or 'material property'. The release's "not recognized under NI 43-101" line is a JORC-vs-CIM cross-recognition disclosure by a TSXV issuer, verbatim: "The estimates ... are reported in accordance with the Australasian Code for Reporting of Exploration Results, Mineral Resources and Ore Reserves 2012 (JORC Code), and is not based on Canadian Institute of Mining, Metallurgy and Petroleum (CIM) definitions, and as a result the estimate is not recognized under National Instrument 43-101 of the Canadian Securities Administrators (NI 43-101)." That is NOT a historical-estimate disclaimer and NOT an Exploration Target. STAGE REVIEW RESOLVED (Task #118): stage remains GRASSROOTS despite that resource, because Bronze Fox is not Kincora's go-forward asset. Kincora executed binding Definitive Share Purchase Agreements on 2 Jul 2026 to divest its wholly-owned Mongolian subsidiaries (the entities holding Bronze Fox/West Kasulu) to a subsidiary of Tumen Ail Coal LLC for US$10M; per Kincora's own June 2026 quarterly published 14 Aug 2026, "US$5M has now been received, with the final US$5M expected upon completion of the transaction", with the final tranche in escrow pending Mongolian shareholder registration and no completion announcement as at 14 Aug 2026. Half-paid and pending completion. Every Kincora project in the go-forward NSW portfolio -- Nevertire South, Condobolin, Trundle, Fairholme, Cowal East, Cundumbul, Wongarbon, Nyngan, Mulla -- is pre-resource, each carrying only a "Greenfield" or "Brownfield" stage descriptor in the July 2026 corporate presentation, with no MRE, PEA, scoping study or feasibility study of any tier ever completed on any Kincora project; the Q1 2026 MD&A is headed "(An Exploration Stage Company)".
