Panoro Minerals holds 100% of the Cotabambas copper-gold-silver porphyry project in the Apurimac region of southern Peru. The current NI 43-101 mineral resource estimate (AGP Mining Consultants, QP Paul Daigle P.Geo., effective 20 November 2023, filed 29 February 2024) reports 507.3 million tonnes Indicated at 0.34% Cu, 0.20 g/t Au, 2.42 g/t Ag and 0.43% CuEq, plus 496.0 million tonnes Inferred at 0.27% Cu, 0.17 g/t Au and 0.36% CuEq, at a 0.15% CuEq cut-off within an optimized pit -- roughly 1.0 billion tonnes containing about 12.5 billion pounds of copper-equivalent, including a higher-grade component of 129.0 Mt Indicated at 0.70% Cu and 0.44 g/t Au at a 0.5% CuEq cut-off. A preliminary economic assessment was completed in 2015 (updated 22 September 2015: after-tax NPV of US$683.9 million at a 7.5% discount rate, 16.7% IRR, 17-year mine life at 80,000 t/d averaging 155.1 million pounds of copper a year, US$1.53 billion initial capital, on US$3.00/lb copper). That study has never been formally withdrawn, but it was built on the 2013 resource model that the 2023 estimate replaced, and Panoro no longer presents it: the company's stated plan is to fold the updated mine plan into a NEW preliminary economic assessment and then a prefeasibility study, with metallurgical testwork underway and initial results expected in Q4 2026. Stage is therefore held at resource definition rather than PEA. Drilling in 2026 was expanded from an initial 15,000 metres to 45,000 metres after a C$21.0 million financing in May 2026, targeting five rigs by the end of Q3; hole CB-228 returned 317.6 metres of 1.04% CuEq including 66.1 metres of 1.92% CuEq. Wheaton Precious Metals holds a 2016 early-deposit precious-metals purchase agreement over the project (US$140 million for 25% of payable gold and 100% of payable silver).

A relative ranking of how closely this company matches the profile of juniors that have actually been acquired — not a probability, and not a reason to buy. Acquisitions are rare: only a few dozen significant deals happen a year across a universe of thousands of juniors, so even a high score here describes a long shot. The strongest signal the underlying research identifies — whether a major already holds a JV, earn-in, or 5–19.9% strategic stake — isn't tracked yet and is absent from this score.

The one piece of outside validation Panoro has is a real one, but it is indirect: Wheaton Precious Metals committed to an early-deposit precious metals purchase agreement over the Cotabambas project, under which it will pay up to US$140 million for 25% of payable gold and 100% of payable silver. Wheaton's technical team had to underwrite the project to sign it, and it has kept making the staged early-deposit payments -- the seventeenth landed in 2023. But Wheaton buys future metal rather than shares, so this is not a shareholder vote, and no fund, producer or insider position is on record.

Technical Report Takeaways

CURRENT GOVERNING TECHNICAL REPORT: 'Technical Report on the Cotabambas Copper Gold Project', AGP Mining Consultants Inc. (QP Paul Daigle P.Geo.; Oscar Retto MinEng; Neil Lincoln P.Eng.), effective 2023-11-20, filed on SEDAR+ 2024-02-29. RESOURCE-ONLY -- it contains no NPV, IRR or mine plan. Indicated 507.3 Mt @ 0.34% Cu / 0.20 g/t Au / 2.42 g/t Ag / 0.0021% Mo / 0.43% CuEq; Inferred 496.0 Mt @ 0.27% Cu / 0.17 g/t Au / 2.53 g/t Ag / 0.0027% Mo / 0.36% CuEq, at a 0.15% CuEq cut-off within an optimized pit. Higher-grade subset at 0.5% CuEq: 129.0 Mt Indicated @ 0.70% Cu / 0.44 g/t Au / 4.12 g/t Ag and 93.1 Mt Inferred @ 0.59% Cu / 0.41 g/t Au. SUPERSEDED ECONOMIC STUDY (do not re-promote stage on it): Cotabambas PEA, initial 2015-04-09 (Amec Foster Wheeler Peru + Tetra Tech, technical report filed 2015-05-26) and UPDATED 2015-09-22 (Amec Foster Wheeler Peru + Moose Mountain, technical report filed 2015-11-09). The updated study is the operative one: after-tax NPV7.5% US$683.9M, after-tax IRR 16.7%, payback 3.6 yr, 17-year life, 80 ktpd, 155.1 Mlb/yr Cu plus 95.1 koz/yr Au, initial capex US$1.53B, at US$3.00/lb Cu, US$1,250/oz Au, US$18.50/oz Ag. The INITIAL April 2015 PEA's 19-year life and 143.4 Mlb/yr are the SUPERSEDED figures -- this DB carried the 19-year number in mineLifeYears until Task #126 (2026-08-15) nulled it. WHY THE PEA DOES NOT SET STAGE: it was computed over the 2013 resource (127.3 Mt Indicated / 355.8 Mt Inferred within the pit design), which the 2023 AGP estimate replaced -- Indicated tonnage roughly quadrupled and the pit design changed. Never formally withdrawn (checked; NI 43-101 filed reports do not auto-expire), but Panoro has stopped invoking it: the Q1-2026 MD&A has zero occurrences of '2015', and the company's stated plan is a NEW PEA then a PFS. Metallurgical testwork supporting that future PEA/PFS was underway as of 2026-07-27 with initial results expected Q4 2026 -- THAT is the event that would justify moving this row to PEA. The effective dates of the two 2015 technical reports were NOT verified this pass (the news releases give filing dates only, and the 6.4 MB AGP PDF exceeded fetch limits) -- the resource figures above were verified via the Q1-2026 MD&A and the filing news release rather than the report PDF itself. ANTILLA (second project, own May-2016 PEA: after-tax NPV7.5% US$225M, 15.1% IRR, 24-yr life at 40 ktpd; resource effective 2015-10-19, Indicated 291.8 Mt @ 0.34% Cu) is NOT stage-setting: Panoro sold down to roughly 10% (Calisto Cobre reaches 90% on the third payment) retaining a 2% NSR, which fails the ownership/control test on the PTU/SASK precedent.
