Technical Report Takeaways

Hammer Metals is advancing the Kalman and Elaine-Dorothy copper-gold projects in the Mount Isa district of Queensland, which include the Kalman, Jubilee, Overlander, Elaine and Lakeview deposits. In August 2026 Hammer signed a binding scheme implementation deed to be acquired by Austral Resources Australia for 1.2903 new Austral shares per Hammer share, after Larvotto Resources, which had signed an earlier all-scrip deal in June 2026, chose not to match the offer. The scheme booklet dated 2 October 2026 puts the implied value at about A$0.10 a Hammer share at Austral's A$0.078 closing price, with no cash component; Hammer shareholders would hold about 30.4% of the merged group, and Hammer's Western Australian gold assets are to be demerged separately into Carnegie Resources. The independent expert found the scheme fair and reasonable, the scheme meeting is set for 9 November 2026 and implementation for 25 November 2026.
