Canoe Mining Ventures Corp. (TSXV: CLV) is a Toronto-headquartered junior gold explorer. It holds a 100% interest in the Kerrs gold property, 12 mining leasehold patents in the Larder Lake Mining Division of Ontario, and a 100% interest in the Butt property, 87 mineral exploration claims in Butt Township, Nipissing District, Ontario. Debt-free micro-cap; closed a CAD575,000 non-brokered private placement (11.5 million units) in November 2025. Both projects are early-stage with no published resource estimate. Canoe entered a business combination agreement dated 24 Jul 2026 with Longview Gold Corp., a private BC company whose principal asset is an earn-in option (dated 28 Nov 2025) on the Red Hill sediment-hosted gold project (Eureka County, Nevada, Cortez Trend); the deal is structured as a three-cornered amalgamation expected to constitute a Reverse Takeover of Canoe under TSXV Policy 5.2, with the combined company renamed Longview Gold Corp. Ahead of closing, Canoe is completing a 3.32-for-1 share consolidation and raising a minimum C$6.2 million via subscription receipts. Shareholder meetings are anticipated in early September 2026; the transaction remains pending TSXV acceptance, shareholder approval, and financing completion, with no closing date finalized as of this update (Aug 2026). Longview's Red Hill option is optioned from Metalla Royalty & Streaming Ltd., which has separately held a royalty specifically on NuLegacy Gold Corp's (TSXV: NUG) own former Red Hill property in this same district since 2020 -- a well-supported but not claim-for-claim-confirmed connection, since NuLegacy fully reverted that property in Apr 2025 a few months before Longview's Nov 2025 earn-in with Metalla. Note a third, apparently distinct 'Red Hill' project in the same district is separately held and actively explored by American Pacific Mining Corp. -- the name is not unique to one property here.
